1. Quotations and orders
Prices shown in a quotation are valid for thirty days from issue unless stated otherwise. An order is accepted only when we issue a written order confirmation stating quantities, reference codes, unit prices, Incoterms and lead time. Catalog listings are not offers to sell.
2. Specification and tolerances
Instruments are supplied to the pattern, material and finish stated on the order confirmation. Dimensional tolerances follow ISO 7153-1 and the pattern drawing. We reserve the right to make non-material improvements to a pattern that do not affect fit, function or specification.
3. Delivery and title
Delivery terms are as stated on the order confirmation, interpreted under Incoterms 2020. Risk passes in accordance with the agreed Incoterm; title passes on receipt of payment in full. Lead times are estimates given in good faith and run from receipt of a confirmed order and any advance payment due.
4. Inspection and acceptance
Goods must be examined on receipt. Claims for shortage, transit damage or visible non-conformance must reach us within fourteen days of delivery, with the batch identifier and photographs. Pre-shipment inspection may be witnessed by you or a third-party agency where agreed before production starts.
5. Warranty
We warrant that instruments are free from defects in material and workmanship for twelve months from delivery, when used for their intended purpose and reprocessed in line with our care and sterilization guide. The warranty does not cover:
- Normal wear of cutting edges and working surfaces.
- Damage from improper cleaning agents, saline soaking or unvalidated sterilization cycles.
- Instruments that have been reground, re-marked or modified by a third party.
6. Remedies and liability
Our liability for a valid warranty claim is limited, at our option, to repair, replacement or credit of the affected instruments. To the extent permitted by law we are not liable for indirect or consequential loss, including loss of profit or theatre time. Nothing in these terms limits liability for death or personal injury caused by our negligence.
7. Intended use
Instruments are supplied non-sterile unless the order confirmation states otherwise, and must be cleaned and sterilized before clinical use. They are intended for use by trained clinical personnel only, for the procedures described in the accompanying instructions for use.
8. Regulatory responsibility
Where you place the instruments on a market outside India, you are responsible for confirming local registration requirements. We will provide technical documentation, declarations and certificates required to support your filing.
9. Governing law
These terms are governed by the laws of India. The courts at Jalandhar, Punjab have exclusive jurisdiction, save that either party may seek injunctive relief in any competent court.
